TERMS AND CONDITIONS

1. DEFINITIONS
“Agreement” refers to the collective understanding and documented arrangement between Deepaxis Technology Limited (Deepaxis) and the Client, incorporating these Terms and Conditions, the Proposal, and any supporting documents explicitly referenced therein.
“Client” refers to the individual, organization, or entity identified as the recipient of the Services in the Agreement.
“Deliverables” encompass all technical outputs, including but not limited to specifications, reports, measurements, calibration data, drawings, and related documentation generated in the course of service execution or equipment provision.
“Hazardous Substance” refers to any agent or material classified as potentially harmful under applicable environmental, safety, or transportation regulations.
“Project” denotes the specific work or undertaking described in the Agreement.
“Proposal” is the formal offer provided by Deepaxis Technology Limited detailing the scope, pricing, and other particulars of the Services.
“Services” means the supply, installation, leasing, monitoring, and technical support of instrumentation and related systems as described in the Proposal.
2. PRECEDENCE
In the event of discrepancies among documents constituting the Agreement, the order of precedence shall be:
the Terms and Conditions;
Approved Change Orders;
the Proposal, excluding these Terms;
Appendices to the Proposal;
Any issued Purchase Orders.
3. SCOPE
Deepaxis Technology Limited will perform the Services as outlined in the Proposal. Any alterations to the original scope shall require mutual written consent. Deepaxis reserves the right to subcontract elements of the work where necessary.
4. PROFESSIONAL OBLIGATIONS
Deepaxis Technology Limited shall execute its duties in accordance with sound principles and established industry practices applicable at the time of performance. All work is contingent on the adequacy and accuracy of data supplied by the Client.
5. FEES AND PAYMENT
Invoices are issued monthly or as otherwise specified. Payments are due net thirty (30) days from the invoice date. Interest at 1% per month shall apply to overdue balances commencing sixty (60) days post-invoice. Invoicing disputes must be communicated within ten (10) days of receipt.
6. WORK INTERRUPTION AND TERMINATION
Services may be paused upon written notice should the Client default on payment or other obligations. If not rectified within fifteen (15) days, Deepaxis may terminate the Agreement and retain all Deliverables until obligations are fulfilled. Suspension or termination shall not relieve the Client from payment for services rendered to date.
7. LIABILITY LIMITATION
To the maximum extent allowed by law, Deepaxis’s total liability under this Agreement shall not exceed the lesser of:
the total fees received for the Services; Or
five hundred thousand Canadian dollars (CAD $500,000). Deepaxis shall not be liable for indirect, incidental, or economic losses. Any claim must be filed within twelve (12) months of the completion of Services.
8. FORCE MAJEURE
Performance delays caused by unforeseeable events beyond the reasonable control of either party shall not constitute a breach. Obligations shall resume promptly once the disruption is resolved.
9. SITE CONDITIONS AND ACCESS
The Client shall facilitate unobstructed access to relevant project locations. The Client assumes full responsibility for identifying all subsurface and overhead utilities. Deepaxis shall not be liable for damage to property not arising from its direct negligence.
10. FIELD REVIEW
Site reviews by Deepaxis, if included in the scope, are to assess general compliance and are not continuous supervision. Deepaxis disclaims responsibility for construction means, safety programs, or third-party actions.
11. PUBLICITY AND MEDIA
Deepaxis reserves the right to reference project information in marketing or technical publications, excluding confidential or proprietary details, unless restricted by prior written agreement.
12. OWNERSHIP OF MATERIALS
All intellectual property and proprietary content generated during the provision of Services shall remain the exclusive property of Deepaxis Technology Ltd., unless otherwise agreed. The Client may retain copies for internal use only.
13. INSURANCE DEEPAXIS
Deepaxis maintains professional liability coverage suitable to the scope of its work. Proof of insurance will be provided upon reasonable request.
14. RELATIONSHIP OF THE PARTIES
Nothing in the Agreement shall be interpreted as creating an employment, joint venture, or agency relationship. Deepaxis performs the Services as an independent contractor.
15. EQUIPMENT WARRANTY
Instruments sold or leased by Deepaxis are warranted to be free from manufacturing defects for a period of twelve (12) months from the date of delivery, unless otherwise specified. The warranty is void if the equipment is misused, improperly installed, modified without authorization, or serviced by unauthorized personnel. Remedial actions shall be limited to repair or replacement at Deepaxis’s discretion.
16. RETURNS AND EXCHANGES
Clients may request to return newly purchased instruments within thirty (30) days of receipt, subject to inspection and approval by Deepaxis. Equipment must be unused and in original condition. A restocking fee of up to 20% may apply. Leased units must be returned in good working order, with the Client bearing responsibility for shipping and any damage beyond normal wear.
17. TERMS OF LEASE
During the lease term, the Client is responsible for safeguarding, operating, and maintaining the instruments in accordance with manufacturer guidelines. Title remains with Deepaxis. Loss or damage due to mishandling, theft, or negligence shall be compensated by the Client. Equipment must be returned promptly at lease conclusion, unless otherwise extended in writing.
